Dairibord Holdings Limited says shareholders controlling more than 51% of the company’s issued ordinary shares have entered negotiations over the possible sale of a controlling stake, a development that could significantly affect the company’s share price.
In a cautionary statement issued on Friday, the Zimbabwe Stock Exchange-listed food and beverages manufacturer said the discussions involve three of its major shareholders: Equivest Asset Management (Pvt) Ltd, Mega Market (Pvt) Ltd, and Mutare Mort & Exchange (Pvt) Ltd.
The company said the three shareholders had informed its board that they were negotiating with an unnamed third party regarding the potential acquisition of a controlling block of shares in Dairibord.
If concluded, the proposed transaction would result in the transfer of control of one of Zimbabwe’s leading food and beverage companies.
“Dairibord Holdings Limited wishes to advise shareholders and members of the investing public that the shareholders have entered into negotiations with an unnamed third party regarding the potential acquisition of a controlling block in the company,” the statement said.
The company cautioned that the proposed transaction, if successfully completed, could have a material impact on the market price of its shares.

As a result, shareholders and investors have been advised to continue exercising caution when trading Dairibord shares until further notice.
Dairibord said additional announcements would be made in accordance with applicable regulations and Zimbabwe Stock Exchange listing requirements as and when there are material developments relating to the transaction.
The cautionary statement, signed by Company Secretary Maurice Karimupfumbi, was issued on 10 July 2026. It follows an earlier cautionary statement released on 24 June 2026, which remains in effect.
The identity of the prospective buyer, the value of the proposed transaction, and the terms under negotiation were not disclosed. Neither did the company indicate when the negotiations are expected to conclude.
If completed, the deal would represent a significant change in Dairibord’s ownership structure, with implications for the company’s future strategic direction and governance. Investors are expected to closely monitor further announcements from the company as negotiations progress.
